BARNSTABLE COUNTY ASSESSORS ASSOCIATION, INC.

BY-LAWS

As adopted December 1, 1981
As Amended June 22, 1990, June 18, 2004, June 9, 2006, and December 4, 2008

ARTICLE I

NAME

The name of this organization shall be Barnstable County Assessors Association, Inc., hereinafter referred to as the Association, a Massachusetts Chapter 180 non-profit corporation.

ARTICLE II

PURPOSES

The purposes of this Association are to: Foster a closer relationship among the assessing officers of Barnstable County; inform and educate local assessing officers and their assistants on taxation matters related to property assessments consistent with Massachusetts statues; assist in establishing uniform administration of state and local tax laws; provide a local forum for the discussion and exchange among assessing officers and their assistants of information and administrative procedures concerning local taxation; encourage the initiation of desirable taxation legislation; assist in and contribute to the development of sound municipal finance practices.

In connection with the foregoing, actions shall include those permissible under Chapter 180 of the General Laws.

The Association shall be non-sectarian and non-partisan in its attitudes and procedures and shall not discriminate with regard to race, color, creed, national origin, sex or age.

ARTICLE III

MEMBERSHIP

SECTION 1. Regular Members. The regular members shall be Assessing Department employees to include active Board members, assessors, deputy assessors, assistant assessors, and assessing clerks currently holding position in Barnstable County towns. Regular members shall be the only voting members.


SECTION 2. Honorary Members. Honorary members shall be those persons who are so elected at an Association meeting in recognition of outstanding contribution to municipal tax administration, and who shall be exempt from dues payments and who shall have no voting privileges in Association affairs.

ARTICLE IV

DUES

SECTION 1. Dues. The dues for Regular members shall be a maximum of $300.00 per office or $75.00 per person per office, whichever is less. Dues shall be payable at the beginning of each fiscal year and shall be collected by the Treasurer of the Association. Changes in dues approved at the annual meeting are effective one year following the next dues billing. A change in dues for the next dues billing requires a two-thirds vote of the membership. Only those members may vote or be elected to office at the annual meeting whose dues are paid in full. Exceptions to this may be voted by the Executive Board and so announced at the start of the meeting. (Amended 6/22/1990.) [Amended 8/1/01.] [Amended 6/18/04.] [Amended 12/4/08.]

ARTICLE V

VOTING

SECTION 1. Voting. Each Town, irrespective of the number of members from that Town, shall be entitled to one (1) vote in all matters relating to the Association.

ARTICLE VI

OFFICERS

SECTION 1. Officers. The officers of the Association shall be a President, a Vice President, a Treasurer, and a Secretary, who shall also be the Clerk of the Association. The officers shall be elected by ballot by plurality vote at the annual meeting to serve for one year or until their successors are elected, and their terms of office shall begin at the close of the annual meeting at which they are elected.

SECTION 2. Eligibility. Any Regular member in good standing is eligible to be elected to any office.

SECTION 3. Nominations. The Nominating Committee shall nominate candidates for each office prior to the annual meeting. Additional nominations shall be permitted from the floor by any regular member under the nomination agenda item at the annual meeting.

SECTION 4. Vacancy. A vacancy in the office of the President occurring between annual meetings shall be filled by the Vice President. A vacancy in the office of the Vice President, Secretary, Treasurer or member of the Executive Board occurring between annual meetings shall be filled by appointment by the President with the approval of the Executive Board. SECTION 5. Compensation. The compensation of the officers, if any, shall be established by two-thirds vote of the membership. Notwithstanding any special compensation, the officers shall be entitled to reimbursement for actual out-of-pocket expenses incurred on Association business other than attendance at the Executive Board and Association meetings. The secretary and treasurer shall be compensated the sum of $200.00 for their services for the fiscal year. (Amended 7/95) [Amended 6/18/04]

ARTICLE VII

DUTIES OF OFFICERS

SECTION 1. President. The President, or in their absence, the Vice President, shall preside at all meetings of the Association and of the Executive Board. The President shall appoint all committees except as may be otherwise provided by law or by these bylaws and shall perform such other duties as may be required by custom or welfare of the Association.

SECTION 2. Clerk-Secretary. The Secretary shall keep a written record of all meetings of the Association and of the Executive Board. The Secretary shall keep a written roll of the membership and give notice of all meetings of the Association and of the Executive Board. The Secretary shall perform such other duties as pertain to the office or as may be assigned to it by the Association, the Executive Board or the President.

SECTION 3. Treasurer. The Treasurer shall collect all dues and shall collect and disburse all funds of the Association and shall keep a detailed account of the same. The Treasurer shall keep all funds of the Association in depositories approved by the Executive Board and shall keep all such funds in the name of the Association. The Treasurer shall make an annual statement and report to the Association members at the first meeting following the close of the fiscal year, and shall perform such other duties as pertain to the office or as may be assigned to it.

ARTICLE VIII

ANNUAL MEETING

SECTION 1. Annual Meeting. The annual meeting of the Association shall be held not earlier than the fifteenth day of November nor later than the thirty-first day of December, the date and place to be determined by the Executive Board. Notice of said annual meeting shall be given in writing and mailed, e-mailed, or faxed to each member town by the Secretary at least fourteen days prior to the date of the meeting. This notice shall also include the nominations for officers as submitted by the Nominating Committee. (Amended 7/16/1993.) [Amended 6/18/04][Amended 6/9/06]

SECTION 1A. Regular Meetings. The Association shall meet no fewer than four (4) times annually, which may include the annual meeting. Regular meetings may be called by the President, with written notice mailed, e-mailed or faxed to each member town at least seven (7) days prior to the date of the meeting.

SECTION 2. Special Meeting. A special meeting of the Association may be called by the President with the approval of the Executive Board or it shall be called upon the written petition of ten members (10) of the Association. Notice of such special meeting shall be given in writing and mailed, e-mailed or faxed to each member town by the Secretary at least seven (7) days prior to the date of the meeting. The notice for a special meeting, stating the purposes thereof, shall be approved by the Executive Board.

SECTION 3. Agenda. Agenda items for meetings may be submitted by the Executive Board, a standing or special committee, or by individual members if received at least fifteen (15) days prior to the meeting.

SECTION 4. Reports. Reports of all officers and standing and special committees presented to the annual meeting shall be provided upon request to each member town. (Amended 6/18/04)

SECTION 5. Quorum. Ten members at a meeting shall constitute a quorum for the transaction of business, provided that they include members from at least five towns.

SECTION 6. Fiscal Year. The fiscal year of the Association shall be January 1 to December 31. [Amended 6/9/06]

ARTICLE IX

EXECUTIVE BOARD

SECTION 1. Composition. There shall be an Executive Board of Directors consisting of the officers of the Association, two (2) immediate past Presidents and three (3) regular members elected at the annual meeting. (Amended 7/16/1993.)

SECTION 2. Term. The members of the Executive Board shall serve for one (1) fiscal year or until their successors are duly elected. The President and the Secretary shall act as Chairman and Recording Secretary, respectively, of the Executive Board.

SECTION 3. Authority. The Executive Board shall have general supervision of the affairs of the Association and perform such other duties as these bylaws or the Association shall direct.

SECTION 4. Responsibilities The Executive Board shall be responsible for: Arranging for the location of association meetings; and the procurement of meeting programs consistent with and in furtherance of the purposes of the association. (Amended 6/18/04)

SECTION 5. Budget. The Executive Board may prepare or have prepared a proposed budget of income and expenditures and fund balances by November 1st for the next fiscal year. The budget shall be submitted to the president. (Amended 6/18/04) [Amended 6/9/06]

SECTION 6. Meetings. Meetings may be called at any time by the President and shall be called at the request, in writing, of three (3) members of the Executive Board. A notice of each meeting setting forth the time, place, and purposes thereof shall be mailed, e-mailed or faxed by the Secretary to each member Town at least seven (7) calendar days in advance of the meeting date. The Secretary shall, within fourteen (14) days after each meeting, mail, e-mail or fax a copy of the minutes thereof to each member of the Executive Board and to any member town of the Association upon request. (Amended 6/14/04)

SECTION 7. Quorum. Four (4) members of the Executive Board present at any meeting shall constitute a quorum for the transaction of business.

ARTICLE X

STANDING COMMITTEES

SECTION 1. Appointment. At the regular meeting of the Executive Board following the annual meeting, the President shall, with the approval of the Executive Board and appointees, appoint from the active membership at least two (2) members and a Chairperson for each of the standing committees, except the Nominating Committee. Terms of all committees shall be for the current fiscal year.

SECTION 2. Nominating Committee. The Nominating Committee shall consist of three (3) members who shall be appointed by the President, with the approval of the Executive Board and the appointees, prior to September 1 each year. The Nominating Committee shall nominate candidates for each elected office of the Association as provided in Article VI, and shall advise the President in the event of a vacancy in the office as it occurs. SECTION 3. Audit Committee. The Audit Committee shall provide for an independent annual audit of all the Association accounts and funds for the preceding fiscal year and shall report the result of the audit at the first meeting of the current fiscal year. (Amended 6/18/04)

SECTION 4. Education Committee. The Education Committee shall consist of five (5) members who shall be appointed by the President, with the approval of the Executive Board and the appointees. Such appointments shall be made following the annual meeting and be for the current fiscal year. The Education Committee is responsible for coordinating the educational needs of the association. (Amended 6/18/04)

SECTION 5. Legislative Committee. There shall be a Legislative Committee consisting of at least three (3) members appointed by the President, with the approval of the Executive Board and the appointees. The Legislative Committee shall keep informed on all legislative and regulatory tax matters affecting the towns and shall advise the Executive Board and the members of the Association in such matters and make recommendations on the position to be taken in such matters by the Association.

SECTION 6. Program Committee. The Program Committee shall consist of four (4) members who shall be appointed by the President, with the approval of the Executive Board and the appointees. The Program Committee is responsible for coordinating the four (4) Regular Meetings of the Association which includes making arrangements for the meeting content and venue. (Amended 12/4/08).

SECTION 7. By-Law Review Committee. The By-Law Review Committee shall consist of three (3) members who shall be appointed by the President, with the approval of the Executive Board and the appointees. The By-Law Review Committee shall review, and when needed, propose changes to the By-Laws to the President and Executive Board. (Amended 12/4/08).

SECTION 8. Sunshine Committee. The Sunshine Committee shall consist of two (2) members who shall be appointed by the President, with the approval of the Executive Board and the appointees. The Sunshine Committee shall oversee sending flowers, cards, etc. as needed for Association members at times of illness, retirement, loss of their immediate family members, or as requested by the President. ARTICLE XI

PARLIAMENTARY AUTHORITY

The rules contained in the current edition of “Roberts Rules of Order Newly Revised” shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with these bylaws.

ARTICLE XII

AMENDMENTS

These bylaws may be amended at any annual meeting of the Association by a two-thirds vote, provided a notice of the substance of the proposed amendment has been mailed, e-mailed, or faxed to each member town at least ten (10) days in advance of the meeting.
